Terms & Conditions.
These Terms & Conditions are provided for information purposes only and do not constitute a binding contract. Contractual rights and obligations are governed exclusively by the General Terms of Sale (OWH) and the project-specific agreement concluded between the parties.
1. Nature of Supply.
EcoReadyBath supplies project-specific prefabricated bathroom modules manufactured in a factory-controlled environment.
Unless expressly agreed otherwise in writing:
- the scope of supply constitutes supply of goods, not construction services,
- on-site construction works, positioning, installation and MEP connections are excluded from the scope.
2. Design and Documentation.
Bathroom modules are manufactured based on technical documentation and requirements approved by the Client.
EcoReadyBath:
- does not assume responsibility for the overall building design,
- is not responsible for errors or inconsistencies in Client-provided documentation,
- is responsible for manufacturing the modules in accordance with approved documentation.
3. Changes and Variations.
Any changes to scope, design, materials or specifications require prior written agreement.
Changes may affect:
- price,
- delivery schedule,
- scope of supply.
EcoReadyBath is not obliged to implement changes without formal approval.
4. Production, Delivery and Risk.
Production and delivery schedules are agreed on a project basis.
Unless otherwise agreed:
- delivery takes place from EcoReadyBath’s production facility,
- risk of loss or damage transfers to the Client upon delivery or unloading,
- the Client is responsible for appropriate unloading and handling arrangements.
5. Inspection and Acceptance.
The Client is required to inspect delivered goods for visible damage or shortages upon delivery.
Failure to notify EcoReadyBath within the agreed timeframe may result in the goods being deemed accepted, subject to the terms set out in the contractual documentation.
6. Warranty and Defects.
EcoReadyBath warrants that the supplied goods:
- are manufactured in accordance with approved documentation,
- are free from material defects at the time of delivery,
- warranty terms, periods and remedies are defined in the applicable OWH and contract.
7. Product Compliance and CE Marking.
Bathroom modules are supplied as project-specific products, manufactured in accordance with approved technical documentation and applicable national building regulations.
Individual components used within the modules are CE-marked where required.
CE marking does not apply to the bathroom module as a complete assembly.
8. Payment Terms.
Payment terms are defined in the offer and contractual documentation.
Unless agreed otherwise:
- invoices are payable within the agreed payment period,
- the Client is not entitled to withhold or offset payments,
- late payments may result in suspension of further deliveries.
9. Liability.
EcoReadyBath’s liability is limited to direct damages resulting from proven fault. EcoReadyBath shall not be liable for:
- indirect or consequential losses,
- loss of profit, revenue or business opportunities,
- delays caused by factors beyond EcoReadyBath’s control,
- defects resulting from improper handling, storage or installation.
Detailed liability provisions are set out in the OWH.
10. Force Majeure.
Neither party shall be liable for delays or failure caused by events beyond reasonable control, including supply chain disruptions, governmental actions or force majeure events.
11. Governing Law.
Unless agreed otherwise, contractual relationships are governed by Polish law, with jurisdiction as defined in the applicable OWH.
12. Final Provisions.
These Terms & Conditions apply unless expressly replaced by written contractual arrangements.
In the event of any inconsistency, the OWH and signed contract shall prevail.
